Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern Your access to and use of the website proxygyan.com ("Website"), the Proxy Gyan mobile applications ("Application"), and any products, content, or services made available through them (collectively, the "Services"), provided by Proxy Gyan Private Limited ("Company", "We", "Us", "Our").

By accessing, browsing, registering for, or using the Services — whether or not You make a payment — You confirm that You have read, understood, and agree to be bound by these Terms and by Our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If You do not agree, please do not use the Services.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require a physical or digital signature.

If there is any conflict between these Terms and another Proxy Gyan policy, these Terms prevail, except where the other policy expressly states otherwise or where the conflict concerns a matter specifically governed by that policy (for example, refunds, which are governed by the Refund & Cancellation Policy).

Nothing in these Terms limits or waives any right You have under the Consumer Protection Act, 2019 or any other applicable law of India. Where a provision conflicts with a mandatory legal right available to You, that legal right prevails.

 

2. Eligibility and Use by Minors

The Services are intended for use by persons who are competent to contract under the Indian Contract Act, 1872 — generally, persons aged 18 (eighteen) or older and of sound mind.

Many of Our users are students, and We recognise that some may be minors. If You are under the age of 18, You may use the Services only with the involvement and consent of a parent or legal guardian who has read and agreed to these Terms on Your behalf. By allowing a minor to use the Services, the parent or legal guardian accepts these Terms and is responsible for the minor's use of the Services.

By registering, You confirm that the information You provide is accurate and that, if the user is a minor, the necessary parental or guardian consent has been obtained. We may, where appropriate, ask for confirmation of consent or of age, and We may suspend or terminate access where required consent has not been given or where information provided is materially inaccurate.

We do not knowingly collect more personal information from minors than is necessary to provide the Services. Our handling of personal data, including data relating to minors, is described in Our Privacy Policy.

 

3. Accounts and Account Security

To use certain Services, You must register for an account. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of Your account credentials and for activity that occurs under Your account. You agree to log out at the end of each session and to notify Us promptly at support@proxygyan.com if You become aware of any unauthorised use of Your account.

If We reasonably believe there has been a security breach or misuse of Your account, We may ask You to change Your password or may suspend the account for as long as is reasonably necessary to address the issue. We will not be liable for losses arising from Your failure to keep Your credentials secure, but this does not exclude any liability that cannot be excluded under law.

Access to the Services through a registration or subscription is personal to You and is non-transferable. You may not share, sell, or assign Your account or access.

 

4. The Services: Nature and Limitations

The Services provide educational content, study tools, mentorship, and related materials, generally aligned with the structured curriculum and syllabi of various courses and examinations.

You acknowledge and agree that:

  • The Services are intended to supplement, not replace, formal education provided by educational institutions.

  • Use of the Services does not guarantee admission to any institution, success in any examination, or any particular marks or results. Any outcome depends on many factors outside Our control.

  • Educational content is provided on an "as is" basis. While We make reasonable efforts to keep content accurate and current, inadvertent errors may occur, and We do not warrant that all content is error-free or complete. Content drawn from third-party sources may contain inaccuracies for which We are not responsible.

  • Some content (particularly material on competitive or administrative-service preparation) reflects opinions and views. We are not responsible for such opinions or for claims arising from them.

  • We may add, change, correct, or withdraw content at Our discretion.

We welcome feedback that helps Us improve the accuracy and usefulness of the Services.

 

5. Access to Specific Service Elements

Certain elements of the Services — such as doubt clearance, mentorship, and similar features — may be subject to separate terms, conditions, or a fair-usage policy, and may be offered to different categories of users on different terms.

Subscribing to or registering for the Services does not automatically entitle You to every element of the Services. We may exercise reasonable discretion in determining which elements are available to You and may extend, modify, or discontinue elements of the Services. Where We discontinue a paid element that You have already purchased, the Refund & Cancellation Policy applies.

We cannot guarantee that the Services will be available without interruption. Access depends on factors such as Your internet connection and device, which are outside Our control. We are not liable for losses arising solely from a temporary inability to access the Services, except where such liability cannot be excluded under law.

 

6. Acceptable Use

Your use of the Services is for Your personal, non-commercial use only. You may not use the Services, or any content from them, for commercial purposes; advertise or sell products, services, or domain names through them; or solicit other users, without Our prior written consent.

You agree not to:

  • Decompile, reverse engineer, or disassemble the Services, or copy, distribute, transmit, reproduce, publish, license, create derivative works from, or sell any content or software obtained from the Services, or remove any proprietary notices.

  • Use the Services in any unlawful manner, or in a way that infringes the rights of, or causes harm to, the Company or any other person.

  • Post or transmit content that is misleading, unlawful, harmful, threatening, abusive, defamatory, obscene, hateful, invasive of privacy, or otherwise objectionable, or that sexualises or endangers a minor.

  • Stalk, intimidate, or harass any person, or incite violence or any criminal offence.

  • Infringe the intellectual property or other rights of any person, or post content You do not have the right to share.

  • Impersonate any person or entity, or misrepresent Your affiliation with any person or entity.

  • Upload or transmit viruses, malware, or other harmful code, or collect personal data about other users without their consent.

  • Access or use the Services in a way that could damage, disable, overburden, or impair Our systems or networks, or attempt to gain unauthorised access to any account, system, or network.

  • Use any robot, spider, scraper, deep-link, or automated means to access, copy, or monitor the Services or circumvent their structure, except as expressly permitted by Us.

  • Interfere with any other user's enjoyment of the Services, or engage in disruptive attacks such as denial-of-service attacks.

  • Alter or modify any part of the Services, or use the Services in any way not permitted by these Terms or by applicable law.

We may, at Our reasonable discretion, remove content or suspend or terminate access for conduct that We reasonably consider to breach these Terms.

 

7. Intellectual Property

All content, materials, software, text, images, graphics, video, audio, trademarks, service marks, trade names, and trade secrets within the Services are the proprietary property of the Company or its licensors ("Proprietary Information"), except for content identified as belonging to third parties or to users.

You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services for Your own non-commercial educational use. No other right, title, or interest in the Proprietary Information is transferred to You. You may not copy, reproduce, modify, republish, distribute, or otherwise exploit the Proprietary Information without Our prior written consent.

Certain content within the Services may belong to third parties and is used with their consent; all rights in that content remain with the third party, and You may not use it without that party's consent.

You may not create a link to the Website from another website or document without Our prior written consent.

 

8. User-Submitted Content

You may have the opportunity to submit content through the Services — for example, questions, answers, posts, or other materials ("Your Content"). You retain ownership of Your Content.

By submitting Your Content, You grant Us a worldwide, non-exclusive, royalty-free licence to host, store, use, reproduce, adapt, publish, and display Your Content solely for the purpose of operating, providing, and improving the Services. This licence ends when You delete Your Content or Your account, except that (a) we may retain copies as required by law or for reasonable backup purposes, and (b) content You shared with other users may persist where they have retained it.

You are responsible for Your Content. You confirm that You have the rights necessary to submit it and that it does not infringe the rights of any third party or breach these Terms.

Some parts of the Services may be interactive and may not be reviewed before content appears. We are not responsible for content submitted by users, and We do not endorse or verify it. We may review, edit, or remove user content at Our reasonable discretion, but We are not obligated to monitor it.

 

9. Competitions and Promotional Use

We may run competitions or similar activities from time to time. Where You voluntarily make a submission to such an activity (for example, a video or written entry), You grant Us a licence to use that submission for promotional purposes connected to Proxy Gyan. We will identify any specific additional terms for a competition at the time it is run. We will not use Your personal images or submissions for promotional purposes in a manner inconsistent with Our Privacy Policy or applicable law.

 

10. Communications and Marketing

By registering, You agree that We may contact You — by telephone, SMS, email, WhatsApp, in-app notification, or similar means — for purposes connected to providing the Services, including account and transaction messages, service updates, doubt resolution, study plans, progress updates, and mentorship.

We may also send You promotional and educational messages about Our products and services. You may opt out of promotional messages at any time by using the unsubscribe option in the message or by contacting support@proxygyan.com; We will continue to send essential service and transaction messages. Where a user is a minor, mentorship and similar communications are provided with the consent of the parent or legal guardian.

We will handle Your contact details and other personal data in accordance with Our Privacy Policy and applicable law, including the rules relating to commercial communications. We do not require You to indemnify Us in relation to Our own marketing practices.

 

11. Referral Programme

We may, at Our discretion, offer referral rewards to encourage customers to refer others to Proxy Gyan. Any such programme is optional, is subject to applicable law, and may be modified or withdrawn by Us. Referral rewards are paid at Our discretion based on Our internal criteria, and You should not do business with Us in the expectation of receiving a referral reward. The specific terms of any referral programme will be made available at the time it is offered.

 

12. Disclaimers and Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, and We disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or that content will be accurate or complete. We make reasonable efforts to train Our personnel, but We do not warrant the conduct of every individual and We will address any reported issues responsibly.

The Services may contain links to third-party websites, provided for convenience only. We do not endorse and are not responsible for the content of linked sites.

Nothing in this section excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable law, including under the Consumer Protection Act, 2019.

 

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising out of or in connection with Your use of the Services.

To the maximum extent permitted by law, Our total aggregate liability to You for any claim arising out of or relating to the Services will not exceed the amount You paid to Us for the specific Service giving rise to the claim in the 12 (twelve) months before the claim arose.

Nothing in these Terms excludes or limits Our liability for fraud, for death or personal injury caused by Our negligence, or for any other liability that cannot be excluded or limited under applicable law, including under the Consumer Protection Act, 2019.

 

14. Indemnity

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from third-party claims, damages, and reasonable expenses (including reasonable legal fees) that arise directly from:

  • Your breach of these Terms or of applicable law;

  • Your infringement of the intellectual property or other rights of a third party; or

  • Your Content.

This indemnity does not apply to claims arising from Our own breach, negligence, or wrongful conduct. We will notify You of any claim for which We seek indemnity, allow You to participate in the defence, and not settle a claim in a way that imposes obligations on You without Your consent (such consent not to be unreasonably withheld).

 

15. Suspension and Termination

We may suspend or terminate Your access to the Services, in whole or in part, if You materially breach these Terms or applicable law, or where required to protect the Services or other users. Where practical and lawful, We will give You notice and, where the breach is capable of being remedied, a reasonable opportunity to remedy it.

If We terminate Your access for a reason that is not Your fault, the Refund & Cancellation Policy governs any refund. Where required by law or a competent authority, We may disclose account information. You may stop using the Services and request account closure at any time.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — will survive.

 

16. Changes to the Services and to These Terms

We may modify, suspend, or discontinue any aspect of the Services at Our discretion. We may also amend these Terms from time to time. Where changes are material, We will take reasonable steps to notify You — for example, by email or an in-app notice — before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms; if You do not agree, You should stop using the Services.

Changes to pricing apply only to future purchases and do not affect a Service You have already purchased and paid for.

 

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any non-excludable right You have to approach consumer forums or other authorities under applicable law, the courts at Ahmedabad, Gujarat, India, will have exclusive jurisdiction over disputes arising out of or relating to these Terms.

Note for Proxy Gyan: confirm Ahmedabad matches Your registered office (the original draft used Bangalore). Note that consumer-protection law generally still allows a consumer to file a complaint where they reside or work, regardless of this clause.

 

18. General Provisions

Notice. We may give notice to You by email to Your registered address or by a notice within the Application. Notices to Us should be sent to legal@proxygyan.com (or support@proxygyan.com).

Entire Agreement. These Terms, together with the Privacy Policy, the Refund & Cancellation Policy, and any service-specific terms, constitute the entire agreement between You and Us regarding the Services.

Assignment. You may not assign or transfer Your rights or obligations under these Terms without Our consent. We may assign Our rights and obligations to an affiliate or successor, provided Your rights under these Terms are not materially reduced.

Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions will continue in full force.

Waiver. Our failure to enforce any provision is not a waiver of that provision or of Our right to enforce it later.

Relationship. Your use of the Services does not create any employment, agency, partnership, joint venture, or franchise relationship between You and Us.

Feedback. Feedback You provide about the Services is non-confidential, and We may use it without restriction or obligation to You, unless We agree otherwise in writing. We may already be developing something similar to Your feedback.

We will acknowledge Your complaint within 48 (forty-eight) hours of receipt and endeavour to resolve it within 1 (one) month from the date of receipt, or within such other timeline as may be required under applicable law.
